MidSole Culture – Seller Terms & Conditions

Effective Date: 12/26/2025

By submitting items for sale to MidSole Culture (“Company,” “we,” “us,” or “our”), you (“Seller,” “you,” or “your”) agree to the following Seller Terms & Conditions. These terms govern all seller activity on www.midsoleculture.com.

1. Seller Eligibility

To sell with MidSole Culture, you must:

  • Be at least 18 years of age

  • Provide accurate and truthful personal, contact, and payout information

  • Agree to comply with all applicable laws and these Seller Terms

MidSole Culture reserves the right to approve or deny any seller account at its discretion.

2. Seller Role & Listing Process

  • Sellers do not list items directly on the MidSole Culture marketplace.

  • All items are submitted for review via our seller submission form.

  • MidSole Culture is solely responsible for:

    • Creating product listings

    • Pricing strategy (in consultation with the seller, when applicable)

    • Photography, descriptions, and presentation

Submission of an item does not guarantee acceptance or listing.

3. Item Requirements

All submitted items must:

  • Be authentic (no replicas, fakes, or unauthorized reproductions)

  • Be new or used as disclosed

  • Match the description and condition provided by the seller

  • Be clean, wearable, and free from undisclosed defects

MidSole Culture reserves the right to reject items that fail authentication, quality, or marketplace standards.

4. Authenticity & Verification

  • Sellers affirm that all items submitted are 100% authentic.

  • Items suspected of being counterfeit may be:

    • Rejected

    • Returned at the seller’s expense

    • Permanently refused for future submissions

Submission of counterfeit items may result in immediate account termination.

5. Pricing & Sale

  • Pricing is determined by MidSole Culture based on market demand, condition, and brand value.

  • Sellers may suggest pricing, but final pricing authority rests with MidSole Culture.

  • Items are sold on a consignment-style basis unless otherwise agreed in writing.

6. Shipping to MidSole Culture

  • Sellers must ship approved items within 2 business days of receiving shipping instructions.

  • Sellers are responsible for:

    • Secure packaging

    • Shipping costs unless otherwise stated

  • Failure to ship on time may result in cancellation of the listing.

7. Payouts

  • Payouts are released only after:

    • The item is sold

    • The item passes verification

    • Any applicable return or dispute window has closed

  • Payouts are issued via the seller’s selected payout method:

    • PayPal

    • Zelle

    • Cash App

    • ACH / Bank Transfer

    • Store Credit (if selected)

MidSole Culture is not responsible for delays caused by incorrect payout information.

8. Fees & Commissions

  • MidSole Culture earns a commission on each successful sale.

  • Commission rates may vary by item type, brand, or condition and may change with notice.

  • All fees are deducted before payout is issued.

9. Returns, Disputes & Chargebacks

  • Buyer returns and disputes are handled by MidSole Culture.

  • If a return is approved, payout may be delayed or canceled.

  • Sellers agree to cooperate in resolving disputes if additional information is required.

10. Seller Conduct

Sellers agree not to:

  • Submit counterfeit or stolen goods

  • Provide false or misleading information

  • Attempt to bypass MidSole Culture to sell directly to buyers

  • Harass staff or customers

Violations may result in suspension or permanent termination.

11. Account Suspension & Termination

MidSole Culture reserves the right to:

  • Suspend seller accounts

  • Remove listings

  • Terminate access without prior notice for violations of these terms

Outstanding payouts may be withheld pending investigation.

12. Limitation of Liability

MidSole Culture is not liable for:

  • Lost profits

  • Market price fluctuations

  • Delays caused by shipping carriers or payment processors

Our liability is limited to the net payout amount owed for a completed sale.

13. Modifications to Terms

MidSole Culture may update these Seller Terms & Conditions at any time. Continued use of the platform constitutes acceptance of updated terms.
